    Position Title: Legal Counsel & Company Secretary Job Group: L3 Location: Yangon, Myanmar
    Reporting to:

    Position Purpose

    Responsible for managing the full range of processes which ensure Wave Money is kept fully compliant with all company legislation and regulation and keeping members of the Board fully informed of their legal responsibilities. The role is also responsible for ensuring Wave Money adheres to best practice in terms of meeting its governance requirements and coordinating access to cost efficient and effective legal advice and guidance.

     

    Principal Accountabilities

    Legal Support

    • Carry out corporate in-house legal work (e.g. drafting of agreements) to an appropriate standard
    • Provision of in-house legal advice on relevant matters
    • Monitor changes in relevant legislation and the regulatory environment taking appropriate action to ensure Wave Money is in compliance with these changes
    • Translate applicable law to provide practical guidance to staff where relevant new legislation is introduced.
    • Act as principal point of contact with company solicitors. Closely manage this relationship to ensure value for money in terms of advice being given. Co-ordinate the escalation of matters where necessary and responses received. Closely monitor the time and budget spent on legal advice.
    • Review beneficiary grant agreements and consultant contracts on an on-going basis to ensure that Wave Money’s interests are protected at all times
    • Co-ordinate with Directorates on projects requiring legal support to ensure efficient management and governance
    • Maintain and manage the company contracts and contracts register

    Company Secretary

    • Provision of a full administration service to the Board to ensure it operates effectively and in accordance with legislative, good governance requirements and company/group policies and procedures
    • Ensure the Board’s decisions and instructions are properly carried out and communicated; – Co-ordination of cross company reports, collection of papers for distribution in a timely fashion, take minutes of Board meetings.
    • Ensure that the Company is compliant to all Laws and Regulations and maintain all the documents and records of the Company.

     

    Governance

    • Ensure that all statutory compliance and filing obligations in all legal areas affecting the company are adhered to.

    • Bachelor or Master degree in Law, Accounting, Finance, or related field
    • Company Secretary (CS), Certified Public Accountant (CPA), Chartered Accountant (CA), Certified or Internal Auditor (CIA) professional certification (or equivalent) is beneficial.

Position Purpose

The Product Manager, Wave Account has two main components:

·         A product management role, defining and implementing Wave Account products and services  roadmap following a Human Centered Design approach

Since launch in August 2016, Wave Money has grown rapidly in the market to become the leading mobile money provider in Myanmar, with a network of 11,000 Agents nationwide. Wave offers over the counter, and customer app-based payments – domestic remittance, airtime top-up, bill payments, and merchant payments.

  • Position Purpose
Wave Money is undergoing a transformation program for IT, and requires a CTO with significant experience in mobile payments, particularly payment API management end-to-end on internal and external-facing middleware, core and apps.

 

The Chief Technology Officer at Wave Money is responsible for ensuring the delivery of all technology initiatives using Agile development practices, aligned with the objectives of our business / product areas; Ongoing management of Wave systems including a mobile money platform, middleware, customer / agent applications, service channels, call center, ERP (GL), databases and infrastructure environment.

 

As part of the Transformation program, many of these systems are being upgraded / replaced, whilst being exited from the incumbent vendor, and migrating to new vendor(s). Wave has existing Program Managers working on this large complex work, which the CTO would have to oversee to successful delivery.

 

Wave will also in-house some of the basic support and development functions.

 

We are searching for an individual with demonstrated leadership and success in complex, secure, high-volume and highly available payment processing environments. The CTO will be responsible for not only the teams that develop and implement innovative technology in our industry, but also for the ongoing performance of those systems to support the strategic initiatives of the business.

 

Security is a priority to our industry. Our systems exchange consumer and financial information with various parties. That information must be protected from unauthorized access. The CTO is responsible to implement and maintain extremely resilient security infrastructures.

 

In addition, this role holds responsibility for managing the Operations of Wave (after subsequent handover). Wave has an incumbent Head of Technology and Operations that is leaving Myanmar in 2018. There would be a significant handover period.

 

 Key Result Areas

IT (~20 FTE):

  • End-to-end delivery of new target state architecture across multiple key financial systems – new middleware, re-integration of upgraded core, integration of apps / customer service channels, etc.
  • Creation of Agile development capability in-house and across customer-facing channels
  • Development of Advanced API management function where Wave can build services ‘on top’ / Open API delivered across Prod, Pre-Prod, Test, and DR, including the creation of a rapid prototyping environment in a PaaS environment
 

·         Full exit of services from the incumbent vendor, and migrated to new vendors.

·         Deliver new target state architecture on-time and on-budget.

·         Positive engagement with technology and non-technology stakeholders which drives outcomes.

·         Setup of the new operating structure to manage technology in-house.

·         Build-up of a strong local team to manage low level, whilst having support from vendors for the more complex tassks.

·         Exhibit strong leadership capability and staff development and engagement to improve the overall performance of the Technology practice and future-proof its success.

·         Business / Product development in place on time and in-line with customer journey requirements to generate revenue for the business in-line with Finance forecasts.

·         Efficient and effective onboarding practices

·         Build-up and Management of the hybrid in-house/vendor Software development capability (Agile); and IT Operations with ticketing, SLAs, team development

·         P&L responsibility

·         Own decisions related to technical architecture, and documentation and continual definition of systems’ design, features, and functions

·         Manage the design and implementation plan for new Wave Architecture, with Telenor, and vendor resources.

·         Participate as a member of the management team in IT governance processes and PMO governance.

·         Report to the CEO, Board of Directors and wider organisation on status updates, and decisions

·         Deliver MFS platform requirements and associated eco-system to meet current and future business requirements, including prioritisation of requirements from multiple departments.

·         Set priorisations and timelines with PMO office in Wave, with vendors and Telenor to ensure timely delivery.

·         Ensure functional, system and architectural integrity of Financial Services technology platforms.

·         Ensure effective and efficient vendor management.

·         Ensure the information security of the systems is according to requirements and Regulation.

·         Ensure maintenance of Data Standards and Data Governance across systems in compliance with Policy and Regulation.

·         Work in both Agile and Waterfall methodology where it makes sense.
